1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Piña Tropical ("Company," "we," "us," or "our"), governing your access to and use of the ShowTune platform, including the website at showtune.ai, the studio application at studio.showtune.ai, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately at support@showtune.ai if you become aware of any unauthorized use of your account.

4. The Service

ShowTune is an AI-powered music video creation platform. The Service allows you to upload audio tracks, generate images and video content using artificial intelligence, assemble storyboards, and export finished music videos. The Service may use third-party AI models and services to generate content on your behalf.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. User Content

"User Content" means any audio files, images, text prompts, storyboards, videos, or other materials that you upload, submit, or create through the Service.

Ownership. You retain ownership of the original content you upload to the Service (e.g., your audio tracks, reference images you own). For AI-generated content created through the Service, you are granted a license to use such content for personal and commercial purposes, subject to these Terms and applicable law.

License to us. By uploading or creating User Content on the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as formatting or compression), and display your User Content solely as necessary to provide and improve the Service. We will not sell your User Content to third parties.

Responsibility. You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to upload and use any content you provide to the Service, and that your User Content does not infringe upon the intellectual property or other rights of any third party.

6. Prohibited Uses

You agree not to use the Service to:

• Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Create content that depicts real individuals without their consent, including deepfakes or non-consensual intimate imagery
• Infringe upon the intellectual property rights of others, including using copyrighted music without proper authorization
• Attempt to reverse engineer, decompile, or extract the source code of the Service or its underlying AI models
• Use automated tools, bots, or scripts to access the Service, except as expressly permitted
• Resell, redistribute, or sublicense access to the Service or its outputs without our written consent
• Interfere with or disrupt the Service's infrastructure, security, or other users' enjoyment of the Service
• Use the Service for any purpose that violates applicable local, state, national, or international law

We reserve the right to remove any content and suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

7. Credits, Payments, and Subscriptions

The Service operates on a credit-based system. Certain actions (such as generating images or exporting videos) consume credits. Credits may be obtained through subscription plans or one-time purchases.

Subscriptions. Paid subscription plans renew automatically at the end of each billing period unless cancelled before the renewal date. You may manage your subscription through the Service's billing settings.

Refunds. Payments are generally non-refundable. If you experience a technical issue that prevents the Service from delivering a result for which credits were consumed, please contact us at support@showtune.ai and we will review your case. Unused credits do not carry over between billing periods unless otherwise specified in your plan.

Price changes. We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing period following notice of the change.

8. Intellectual Property

The Service, including its design, features, software, text, graphics, logos, and other content provided by us (excluding User Content), is owned by Piña Tropical and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

The ShowTune name, logo, and all related marks are trademarks of Piña Tropical. You may not use our trademarks without prior written consent.

9. AI-Generated Content

Content generated by the Service's AI features is produced by third-party machine learning models. We do not guarantee the accuracy, quality, originality, or appropriateness of AI-generated content. You acknowledge that:

• AI-generated outputs may occasionally produce unexpected, inaccurate, or undesirable results
• You are responsible for reviewing all AI-generated content before publishing or distributing it
• AI-generated content may inadvertently resemble existing works; it is your responsibility to ensure your use does not infringe third-party rights
• The same or similar inputs may produce different outputs at different times

10. Third-Party Services

The Service may integrate with or contain links to third-party services, including AI model providers, payment processors, and authentication providers. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, practices, or availability of third-party services.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from the use of the Service will be accurate or reliable.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Piña Tropical, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your content or transmissions.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amounts you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Piña Tropical and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may delete your account at any time through the Service's settings. Upon account deletion, we will delete or anonymize your data in accordance with our Privacy Policy, except as required by law or legitimate business purposes.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, with the proceedings to be held in Albuquerque, New Mexico.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing additional notice (such as via email or an in-app notification). Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

17. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Piña Tropical regarding the Service.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
